Template. Have these terms reviewed by a lawyer before launch and fill in the bracketed details.
1. Who we are
Passfinch is operated by Passfinch (operated by [YOUR US LLC NAME]) ("we", "us"). Contact: hello@passfinch.com.
2. What the service does
Passfinch lets event organizers ("Organizers") publish booking pages and sell tickets to attendees ("Buyers"). We provide software. We are not the organizer of any event, and we are not a party to the contract between an Organizer and a Buyer.
3. Organizer accounts
- You must give accurate information and keep your login secure.
- You are responsible for your events: their content, safety, legality, permits, insurance, taxes on ticket sales, and delivering what you sell.
- You set and publish your own refund and cancellation policy, and you handle refunds.
- You must not use the service for illegal, misleading or prohibited activities, including anything Stripe prohibits.
4. Payments
Paid tickets are processed by Stripe. Organizers connect their own Stripe account and are subject to the Stripe Connected Account Agreement. Payments are charged on the Organizer's Stripe account, and the Organizer is the merchant of record. Disputes and chargebacks are the Organizer's responsibility.
5. Fees
On the Free plan we charge 3% of the price of each paid ticket, collected automatically as an application fee on each payment. Free tickets carry no fee. Stripe charges its own processing fees to the Organizer's Stripe account. Paid plans, if offered, are billed in advance and can be cancelled at any time for the next period. We may change fees with at least 30 days' notice by email. Fees exclude taxes where applicable.
6. Prices shown to Buyers
Organizers must set ticket prices that include all mandatory charges. The service shows Buyers the full price from the start and does not add fees at checkout.
7. Buyers
When you buy a ticket you contract with the Organizer. Questions about the event, changes and refunds go to the Organizer. Ticket emails let you reply to the Organizer directly.
8. Content
You keep ownership of content you upload. You give us a licence to host and display it to run the service. Do not upload content you have no right to use.
9. Availability and changes
We work to keep the service available but do not guarantee it is uninterrupted. We may change or discontinue features.
10. Suspension and termination
You can close your account at any time. We may suspend accounts that break these terms or put Buyers at risk, with notice where reasonable.
11. Liability
To the extent allowed by law, the service is provided "as is", and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim. Nothing in these terms limits rights that cannot be limited under consumer law.
12. Governing law
[State, for example Delaware or Wyoming] law governs these terms, except where consumer law of your country gives you mandatory protections.
